Welcome to ieknet.iek.org.tw (the "Site") and to be the member of service provided by this Site, which is operated by Industrial Economics & Knowledge Center (IEK) of Industrial Technology Research Institute (ITRI) ("ITRI" or "we" or "our"). By using this Site you agree to each of the terms of use set forth herein, including any additional terms and conditions applicable to specific areas or content on the Site ("Terms of Use").
ITRI reserves the right to modify these Terms of Use at any time without notice to you. Your continued use of the Site after any such changes constitutes your agreement to follow and be bound by these Terms of Use as modified.

1. YOUR REGISTRATION OBLIGATIONS
In order to access certain services from the Site, you may be required to provide current, accurate identification, contact, and other information as part of the registration process and/or continued use of services on the Site. You are responsible for maintaining the confidentiality of your account password, and are responsible for all activities that occur under your account. You agree not to share your password with any other individuals or to otherwise allow any other individuals to access the Site or the Content through your account. You take full responsibility for any activity that occurs through the use of your account. You agree to notify ITRI immediately if you become aware that any other individual has accessed your account or has obtained your password, and you agree to immediately notify ITRI of any other unauthorized use of your password or account or any other breach of security.
ITRI cannot and will not be liable for any loss or damage arising from your failure to provide us with accurate information or to keep your password secure.
You also agree to: (a) provide true, accurate, current and complete information about yourself and other personal information as prompted by the member registration form (the "Member Data") and (b) maintain and promptly update the Member Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or ITRI has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, ITRI has the right to suspend or terminate your account and refuse any and all current or future use of the services on the Site (or any portion thereof).

2. USE of SITE and Content and Copyright
You are permitted to access the Site, including the written text, graphics, data, images, illustrations, marks, logos, sound or video clips, photographs and/or other works (singly or collectively, the "Content") solely for your internal information purposes. You agree to maintain all copyright, trademark and other notices on the Content. You may not copy, transmit, reproduce, publicly display, perform, distribute, alter, transmit or create derivative works of any Content or any portion of or excerpts from the Content in any fashion that is not authorized by ITRI in writing or expressly permitted in these Terms of Use.
Neither you nor your organization may use any Content or any excerpt from any Content to promote your or your organizations' products or services. External citation to the Content is prohibited without ITRI's express written permission.
The Site and all of the Content are protected by R.O.C. and/or international copyright laws and conventions, and belong to ITRI, its licensors or third parties. No right, title or interest in any Content is transferred to you.
You agree to use the Site and the Content in accordance with all applicable laws. You agree not to take any action that would compromise the security of the Site or render the Site inaccessible to others.

3. Restricted Areas
Access to certain areas of the Site is restricted ("Restricted Areas") to the members of the Site to whom we have issued passwords. You are not authorized to access any password-restricted areas unless you have received a password from ITRI. You may not use another person's password to access the Site.
You further agree not to reproduce, publicly display, perform, distribute, alter, transmit, create derivative works from or otherwise share any Content or portions or excerpts thereof from Restricted Areas with any other individuals or third parties, except as expressly provided in these Terms of Use.

4. PRIVACY POLICY
Member Data and certain other information about you are subject to our applicable privacy policy. You understand that through your use of the services on the Site you consent to the collection and use of this information, including the transfer of this information for storage, processing and use by ITRI.
ITRI will carefully use the Member Data you submit to this Site in accordance with the applicable law of R.O.C.(Taiwan). This Member Data will be used by ITRI for the sole purpose of providing better services to you.
Please do not send any confidential information to this Site. Any information you do send to ITRI through this Site will be deemed NOT to be confidential ("Non-Confidential Information"). For any Non-Confidential Information you do send, you hereby grant ITRI an unrestricted, royalty-free, irrevocable license to use, reproduce, display, perform, modify, transmit and distribute the Non-Confidential Information, and agree that ITRI is free to use any ideas, concepts, know-how or techniques that you send ITRI for any purpose whatsoever without compensation to you or any other person sending the Non-Confidential Information. Every question and problem sent to this Site may be submitted to relevant technical sectors of ITRI for proper answers.
This Site will not give your Member Data to any other firm or individual without your prior permission. If there is a need to provide you with particular services, such as customer support services or print materials as you require, ITRI is entitled to give your name and delivery address to a third party, such as a shipping company.

5. Personal information Protection Notification AND Consent to Provide Personal INFORMATION
Considering confidentiality of the collection of your personal information, in respect to the Article 8 of Personal Information Protection Act (the “Act”), ITRI shall clearly inform you following issues: (1) the name of the government agency or the non-government agency; (2) purpose of collection; (3) classification of the personal information; (4) time period, area, target and way of the use of personal information; (5) rights of the Party and ways to exercise them as prescribed in Article 3; (6) the influence on his rights and interests while the Party chooses not to provide his personal information.
With regard to your information to be collected by ITRI, please refer to the following for detail purpose of collection, classification of personal information and period, areas, parties and way of the use of your personal information.

   By way of internet, email, written form, facsimile and other automatic or non-automatic measures that is compliance with personal information protection relevant regulations.
   
   

You may exercise following rights with regard to your personal information collected by ITRI:
(1) any inquiry and request for a review of the personal information;
(2) any request to make duplications of the personal information;
(3) any request to supplement or correct the personal information;
(4) any request to discontinue collection, processing or use of personal information; and
(5) any request to delete the personal information.

You are in the position to decide whether providing personal related information and classification. However, ITRI may not be able to provide you relevant services or better services if ITRI may not process necessary checking in terms of the operation requirement due to the lack of your personal information and classification.

6. MEMBER CONDUCT
You agree to not use the services of the Site to:

1. upload, post, email, transmit, or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable;
2. harm minors in any way;
3. impersonate any person or entity, including, but not limited to, a forum leader, guide or host, or falsely state or otherwise misrepresent your affiliation with a person or entity;
4. forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted through the Site;
5. upload, post, email, transmit, or otherwise make available any content that you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
6. upload, post, email, transmit or otherwise make available any content that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party;
7. upload, post, email, transmit, or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation, except in those areas (such as shopping) that are designated for such purpose;
8. upload, post, email, transmit, or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
9. disrupt the normal flow of dialogue, cause a screen to "scroll" faster than other users of the Site are able to type, or otherwise act in a manner that negatively affects other users' ability to engage in real time exchanges;
10. interfere with or disrupt the Site or servers or networks connected to the Site, or disobey any requirements, procedures, policies or regulations of networks connected to the Site, including using any device, software or routine to bypass our robot exclusion headers;
11. intentionally or unintentionally violate R.O.C. laws, any applicable local, state, national or international law and any regulations having the force of law;
12. "stalk" or otherwise harass another; and/or
13. collect or store personal data about other users in connection with the prohibited conduct and activities set forth in paragraphs a through l above; and/or
14. any other inappropriate actions judged by ITRI with justified reason.
    
    

7. GENERAL PRACTICES REGARDING USE AND STORAGE
You agree that ITRI has no responsibility or liability for the deletion or failure to store any Content and other communications maintained or transmitted by the Site. You acknowledge that ITRI may have set no fixed upper limit on the number of transmissions you may send or receive through the services of the Site or the amount of storage space used; however, we retain the right, at our sole discretion, to create limits at any time with or without notice. You further acknowledge that ITRI reserves the right to modify these general practices and limits from time to time.
Upon the termination of your use of the Site, ITRI will close your account and you will no longer be able to retrieve content contained in that account.

8. Accuracy of Information
The Content on this Site is based on ITRI's reasonable efforts to compile and analyze the best sources reasonably available to ITRI at any given time. Any opinions reflect ITRI's judgment at the time and are subject to change. You assume sole responsibility for the selection of the Content to achieve any of your intended results, and your sole and exclusive remedy for any alleged loss or damage suffered by you in connection with your use of the Site or the Content or the User Content is to discontinue using the Site.

9. ADVERTISEMENTS
Some services of the Site are supported by advertising revenue and may display advertisements and promotions on the service. Such advertisements may be targeted to the content of information stored on the Site, queries made through the services or other information on the Site. The manner, mode and extent of advertising on its services are subject to change. As consideration for your use of the Site, you agree that ITRI may place such advertising and that ITRI shall not be responsible or liable for any loss or damage of any sort incurred by you as a result of the presence of such advertisers on the Site or your subsequent dealings with advertisers.

10. DISCLAIMER OF WARRANTIES
THIS SITE AND THE CONTENT ARE PROVIDED "AS IS," AND ITRI DOES NOT MAKE ANY WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE SITE OR THE CONTENT, INCLUDING, WITHOUT LIMITATION, THOSE OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE FURTHER DISCLAIM ALL WARRANTIES (1) RELATING TO THE ACCURACY, RELIABILITY, CORRECTNESS, OR COMPLETENESS OF THE CONTENT OR ANY PORTION THEREOF THAT IS MADE AVAILABLE ON THE SITE; (2) THAT THE CONTENT PROVIDED THROUGH THE SITE WILL BE FREE FROM ERRORS, OMISSIONS, DEFECTS, OR DELAYS IN OPERATION, OR FROM TECHNICAL INACCURACIES OR OTHER ERRORS; (3) THAT THE CONTENT SHALL NOT INFRINGE THE INTELLECTUAL PROPERTY OR PROPRIETARY RIGHTS OF ANY THIRD PARTY; (4) THAT THE CONTENT WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (5) THAT THE SITE WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION.
ITRI AND PARTNERS DO NOT WARRANT THAT (1) THE SITE WILL MEET YOUR REQUIREMENTS, (2) THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (3) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SITE WILL BE ACCURATE OR RELIABLE, (4) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SITE WILL MEET YOUR EXPECTATIONS, AND (V) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.
ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SITE IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR OTHER DEVICE OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.
NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM THE SITE OR THROUGH OR FROM THE SITE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TERMS.

11. INDEMNITY
You understand and agree that you are responsible for your use of the Site. You agree to hold harmless and indemnify ITRI, and its subsidiaries, affiliates, officers, agents, employees, advertisers, licensors, suppliers or partners, (collectively "ITRI and Partners") from and against any third party claim arising from or in any way related to your use of the Site, violation of the Terms of Use or any other actions connected with use of the Site, including any liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, litigation costs and attorneys' fees, of every kind and nature, resulting from or arising out of your use, misuse, or inability to use the Site, the Content, or any violation by you of these Terms of Use.

12. PROPRIETARY RIGHTS
You acknowledge and agree that the services of the Site and any necessary software used in connection with the Site ("Software") contain proprietary and confidential information that is protected by applicable intellectual property and other laws and treaties. You further acknowledge and agree that Content contained in sponsor advertisements or presented to you through the Site is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly authorized by ITRI or other proper third party rights holders, you agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on Content or Software, in whole or in part except as specifically authorized in a separate written agreement.
You agree not to (and do not allow any third party to) copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, grant a security interest in or otherwise transfer any right in the Software, unless such activity is expressly permitted or required by law or has been expressly authorized by ITRI or other proper third party rights holders in writing. You agree not to use modified versions of the Software, including (without limitation) for the purpose of obtaining unauthorized access to the Site. You agree not to access the Site by any means other than through the interface that is provided by ITRI for use in accessing the Site services except as specifically authorized in a separate written agreement.
Except as expressly authorized by ITRI you agree not to use, copy, imitiate, or incorporate any trademark, service mark, trade dress, company name, or product name in a way that is likely to cause confusion among consumers. You also agree not to remove, obscure, or alter ITRI’s or any third party's copyright notice, trademarks, or other proprietary rights notices affixed to or contained within or accessed in conjunction with or through the Site services or Software.

13. LIMITATIONS ON LIABILITY
YOU AGREE THAT ITRI SHALL NOT BE LIABLE UNDER ANY CIRCUMSTANCES OR UNDER ANY THEORY OF LAW FOR ANY DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL OR INCIDENTAL DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, BUSINESS FAILURE OR LOSS, ARISING OUT OF YOUR USE OF THE SITE, THE CONTENT OR USER CONTENT, WHETHER OR NOT ITRI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOU AGREE FURTHER THAT ITRI SHALL NOT BE LIABLE FOR ANY DAMAGES INCURRED BY YOU ARISING AS A RESULT OF RELIANCE UPON THE CONTENT, OR THE SITE OR ANY CLAIM ATTRIBUTABLE TO ERRORS, OMISSIONS OR OTHER INACCURACIES IN THE CONTENT OR THE SITE OR INTERPRETATIONS THEREOF. Notwithstanding anything to the contrary in the Terms of USE, in no event shall ITRI be liable to you under this Agreement for any damage, injury or whatsoever, in contract or in torts, greater than one percent (1%)of the total amount of the payment actually received by ITRI under THE SERVICE ON THE SITE.

14. TERMINATION
You may discontinue your use of the Site at any time. You agree that ITRI may at any time and for any reason, including a period of account inactivity, terminate your access to the Site, terminate the Terms of Use, or suspend or terminate your account. In the event of termination, your account will be disabled and you may not be granted access to the Site, your account or any files or other content contained in your account. Sections 10 (DISCLAIMER OF WARRANTIES), 11 (INDEMNITY), 12 (PROPRIETARY RIGHTS), 13 (LIMITATIONS ON LIABILITY), 14 (TERMINATION) and 18 (Governing Law), of the Terms of Use, shall survive expiration or termination.

15. NOTICE
ITRI may provide you with notices, including by but not limited to email, regular mail, text message, postings on the Site, or other reasonable means now known or hereafter developed. Such notices may not be received if you violate this Terms of Use by accessing the Site in an unauthorized manner. Your agreement to this Terms of Use constitutes your agreement that you are deemed to have received any and all notices that would have been delivered had you accessed the Site in an authorized manner.

16. NO THIRD PARTY BENEFICIARIES
You agree that, except as otherwise expressly provided in the Terms of Use, there shall be no third party beneficiaries and business purposes to the use of the Site.

17. Links
We may provide links to third-party content and other World Wide Web sites or resources. ITRI may have no control over such sites and resources and you acknowledge and agree that ITRI is not responsible for the availability of such external sites or resources, and does not endorse, sponsor and is not responsible or liable for any content, advertising, products, privacy practices or other materials on or available from such sites or resources. You further acknowledge and agree that ITRI shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such site or resource.

18. Governing
These Terms of Use, and their validity, construction and effect, shall be governed by and enforced in accordance with the laws of the Republic of China (R.O.C.) (Taiwan) without reference to the conflicts of laws provisions therein. You specifically and irrevocably consent for any claims or disputes arising out of your use of the Site or these Terms of Use to the jurisdiction of Hsinchu District Court of R.O.C. (Taiwan).
